Terms of Service

These Terms of Service ("Terms") govern your access to and use of JustSignNow ("the Service", "we", "us"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

JustSignNow is an electronic signature platform that allows users to upload documents, place signature fields, request signatures from third parties, and receive legally binding electronic signatures compliant with the ESIGN Act, UETA, and eIDAS.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized access.

4. Acceptable Use

You agree not to:

  • Upload content that is illegal, fraudulent, infringing, defamatory, or harmful
  • Request signatures from individuals who have not agreed to receive electronic communications
  • Use the Service to send unsolicited mass communications
  • Attempt to circumvent security measures or access unauthorized data
  • Reverse-engineer, decompile, or extract source code from the Service
  • Use the Service to violate any applicable law or regulation

5. Electronic Signatures

5.1 Legal Validity

Signatures executed through the Service are legally binding electronic signatures under the ESIGN Act (15 U.S.C. § 7001 et seq.), the Uniform Electronic Transactions Act (UETA), and eIDAS Regulation (EU) No 910/2014, where applicable.

5.2 Consent

By signing a document via the Service, you consent to receive and sign documents electronically. You may withdraw consent for future documents by not using the Service further; this withdrawal does not affect the validity of signatures already executed.

5.3 Identity Verification

You are responsible for verifying the identity of signature recipients. The Service captures IP address, user agent, timestamp, and cryptographic hashes as evidence of signature.

6. Subscription Plans

6.1 Free Plan

The Free Plan allows one signer per document and stores documents for 7 days. After 7 days, documents are automatically deleted from our storage; signature records remain for 7 years.

6.2 Pro Plan

The Pro Plan allows unlimited signers per document. With the Permanent Storage add-on, documents are retained indefinitely.

6.3 Billing

Subscriptions are billed monthly via Stripe. You authorize automatic renewal at the prevailing rate until you cancel. Applicable taxes (VAT/sales tax) are calculated and collected automatically based on your billing address.

6.4 Permanent Storage add-on

The Permanent Storage add-on is billed monthly at $2 per GB allocated, in addition to your Pro subscription. You may increase, decrease, or remove your storage allocation at any time from Settings; changes are prorated against your current billing period and reflected on your next invoice.

6.5 Cancellation and refunds

You may cancel your subscription at any time from the billing portal accessible in Settings. Cancellation takes effect at the end of the current billing period — you retain Pro access until that date. No refunds are issued for partial billing periods.

Right of withdrawal (EU consumers). By subscribing to the Service and signing documents during the 14-day withdrawal window, you expressly acknowledge that the Service is a fully-executed digital service (Article L221-28(13) of the French Consumer Code, transposing Article 16(m) of EU Directive 2011/83). You therefore waive your right of withdrawalfor any portion of the Service you have already used. Refunds outside of this case are at our sole discretion and may be requested at contact@justsignnow.com.

Documents you uploaded under a Pro plan with the Permanent Storage add-on are subject to the retention rules of the plan you downgrade to: removing the add-on causes documents older than 7 days to be eligible for automatic deletion. Signature records and audit logs are preserved for the 7-year legal retention period regardless of plan changes.

7. Document Retention

Documents are subject to retention rules based on your plan. Signature records and audit logs are retained for 7 years regardless of plan, in compliance with legal requirements.

8. Intellectual Property

You retain all rights to documents you upload. You grant us a limited license to store, process, and transmit your documents solely to provide the Service. We retain all rights to the Service itself, including software, designs, and trademarks.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, available at justsignnow.com/privacy.

9.bis Cryptographic Transparency

Every action performed on the Service (signature, view, download, edit, delete) is cryptographically chained in a Merkle log. Each batch of audit entries is periodically anchored to the Bitcoin blockchain via OpenTimestamps. This means:

  • The integrity of the audit trail is provable without trusting us as an operator.
  • We — the operator — cannot modify, reorder, or delete past audit entries without leaving a mathematically detectable trace.
  • Any third party (your lawyer, a court, an auditor) can independently verify a given audit batch using the public endpoint /api/audit/verify/<anchorId>, without relying on our cooperation.
  • The proof is anchored in the Bitcoin blockchain, providing a tamper-evident timestamp that does not depend on our continued existence as a company.

This is provided as a defense-in-depth security feature. We make no guarantee about the long-term availability of Bitcoin or OpenTimestamps as third-party infrastructure, and we do not warrant that this mechanism alone establishes any particular legal status of the signatures (legal validity is governed by sections 5 and 15 of these Terms).

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE SERVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms.

13. Termination

We may suspend or terminate your account if you violate these Terms or if we are required to do so by law. You may delete your account at any time. Signature records and audit logs will be retained per legal requirements even after account deletion.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or notice within the Service. Continued use after changes constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Disputes shall be resolved in the state or federal courts located in New Castle County, Delaware.
