The short answer
Electronic signatures are legally binding in the US when the signer intends to sign, consents to do business electronically, and the signed record can be retained and reproduced. The law does not require a specific technology, encryption level, or certificate. A typed name, a drawn signature on a touchscreen, or a click on an I agree button can all create a valid signature.
This is why a Simple Electronic Signature (SES) is sufficient for most US documents. Higher tiers such as Advanced or Qualified Electronic Signatures are sometimes required in the EU under eIDAS, but the US legal system does not impose those same tiers for ordinary contracts.
What US law actually says
Two statutes govern electronic signatures in the United States:
- The ESIGN Act (Electronic Signatures in Global and National Commerce Act, 2000) is a federal law that gives electronic signatures the same legal effect as handwritten signatures for transactions in or affecting interstate or foreign commerce.
- UETA (Uniform Electronic Transactions Act) is a model state law adopted by 49 states. New York has its own equivalent statute rather than UETA, but the practical result is the same.
Both laws define an electronic signature broadly as an electronic sound, symbol, or process attached to or logically associated with a record and executed with intent to sign. The focus is on the signer's intent and the integrity of the record, not on the specific tool used to capture the signature.
What makes an electronic signature valid
Courts look at four basic factors when deciding whether an electronic signature is enforceable:
- Intent to sign. The signer must have intended the electronic act to carry the same meaning as a signature.
- Consent to electronic records.Both parties must agree to conduct the transaction electronically. For consumers, ESIGN requires a specific disclosure and consent process.
- Attribution. It must be possible to connect the signature to the signer, typically through email verification, IP address, device information, and authentication logs.
- Record retention. The signed agreement must be capable of being retained and reproduced by the parties.
A reliable e-signature platform captures all of this automatically: the document hash, timestamps, signer identity, IP address, user agent, and consent. That audit trail is what makes the signature defensible if it is ever challenged.
Documents that still require paper
ESIGN and UETA exclude a small number of documents. These still require physical signatures or have their own specific rules:
- Wills, codicils, and testamentary trusts
- Adoption, divorce, and certain other family-law matters
- Court orders, notices, and official court documents
- Certain notices of cancellation or termination required by law
- Documents governed by specific state laws that still mandate paper
For everything else — NDAs, service agreements, offer letters, supplier orders, invoices, approvals, and consent forms — an electronic signature is fully valid.

A Simple Electronic Signature (SES) is the lowest tier under the EU eIDAS framework, but that label understates its power in the US.
